BW-10573 (AREA A2) WITH FLAGSHIP AVIATION SERVICES LLC FOR JANITORIAL SERVICES FOR MIAMI-DADE AVIATION DEPARTMENT IN THE AMOUNT OF $131,292,181.00 FOR A FIVE-YEAR TERM; AND AUTHORIZING THE COUNTY MAYOR OR COUNTY MAYOR�S DESIGNEE TO EXERCISE ALL PROVISIONS OF THE CONTRACT, INCLUDING ANY CANCELLATION OR EXTENSIONS, PURSUANT TO SECTION 2-8.1(B) OF THE CODE OF MIAMI- DADE COUNTY, FLORIDA AND IMPLEMENTING ORDER 3- 38

WHEREAS, this Board desires to accomplish the purposes outlined in the accompanying memorandum, a copy of which is incorporated herein by reference,

NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF MIAMI-DADE COUNTY, FLORIDA, that:

Section 1. This Board finds it is in the best interest of Miami-Dade County to waive competitive bidding procedures pursuant to section 5.03(D) of the Home Rule Charter and section 2-8.1(b) of the County Code by a two-thirds vote of the Board members present, and award a non-competitive contract, Contract No. BW-10573 (Area A2), in substantially the form attached and made a part hereof, with Flagship Aviation Services LLC for Janitorial Services for Miami-Dade Aviation Department in the amount of $131,292,181.00 for a five-year term.

Section 2. This Board authorizes the County Mayor or County Mayor�s designee to exercise all provisions of the contract, including any cancellation or extensions, pursuant to Section 2-8.1 of the Code of Miami-Dade County, Florida and Implementing Order 3-38.

STAFF RECOMMENDATION
Summary
Pursuant to Resolution No. R-177-25 adopted at the February 19, 2025 Board of County Commissioners (Board) meeting, the Board directed for all proposals received for competitive Solicitation No. EVN0000201 (Area A only) to be rejected and for the Administration to negotiate contracts with ABM Aviation, Inc. and Flagship Aviation Services LLC, respectively, and bring back non-competitive contracts to the Board within 30 days.

This item is for award of a bid waiver contract to Flagship Aviation Services LLC for the purchase of janitorial services at Miami International Airport�s (MIA�s) concourses F, G, H, and J of the main terminal building, as well as office areas occupied by the U.S. Customs and Border Protection, Transportation Security Administration (TSA), and other areas identified as Area A2 for the Miami-Dade Aviation Department (MDAD). Area A1 is being presented for award as a separate agenda item. These services are essential for the health and safety of the public and County employees who utilize airport facilities. This contract will allow for the management, resources, and regular oversight needed to maintain a uniform world-class standard of appearance and infection/bacterial control for airport facilities.

As part of the $9 billion MIA�s Future-Ready Modernization in Action Plan, this contract supports a broader vision to transform the airport into a mega global gateway, ready to serve 77 million travelers and handle 5 million tons of freight by 2040. The plan emphasizes both facility upgrades and workforce investment through the I AM MIA program, which enhances customer experience. This year, MIA is hiring additional staff and deploying Lightning Crew teams to further its commitment to exceptional service and seamless travel experiences. This contract reinforces MIA�s focus on a service-first culture and positions the airport as a leader in passenger comfort and convenience, setting new standards in airport hospitality as an international hub of the future.

Recommendation
It is recommended that the Board waive competitive bidding procedures pursuant to Section 5.03(D) of the Home Rule Charter and Section 2-8.1(b)(1) of the Miami-Dade County Code (Code), by a two-thirds vote of the Board members present, and award a non-competitive contract, Contract No. BW-10573 Janitorial Services for Miami-Dade Aviation Department (Area A2), to Flagship Aviation Services LLC in the amount of $131,292,181 for a five-year term for MDAD. This contract will replace WOPR-01150, Janitorial Services for Miami International Airport, Terminals (F, G, H, J), Zone 2, awarded in July 2020 under a pool established by the Board in the amount of $67,598,795 and extended by the Board via Resolution R-87-25 on January 22, 2025 in the amount of $6,091,164.

Background
The County issued a solicitation for janitorial services for MDAD on January 16, 2024. The solicitation included three areas: Area A: Terminals (estimated at 9,656,915 square feet); Area B (estimated at 5,823,427 square feet); and Area C (estimated at 1,457,313 square feet). Services include, but are not limited to, cleaning and disinfecting of lobbies, ticketing areas, hallways, stairwells, elevators, escalators, moving walkways, and restrooms. The contract includes smart restroom technology to monitor and report restroom usage and cleanliness with an overall goal to reduce waste, minimize the amount of time restrooms are in a suboptimal state, and engage customer feedback on the quality of their experience.

On February 19, 2025, via Resolution No. R-177-25, the Board rejected all proposals received for Area A and directed the County Mayor or County Mayor�s designee to negotiate contracts with ABM Aviation, Inc and Flagship Aviation Services LLC, the two highest ranked proposers before the application of Local Preference, and to bring non-competitive recommendations to award such contracts on such negotiated terms before the Board within 30 days. The Board awarded contracts for Areas B and C on the same agenda via Resolution Nos. R-175-25 and R-176-25, respectively.

While the Board`s directive specified a breakdown of Area A by terminal and landside areas (for ABM Aviation, Inc.) and airside areas (for Flagship Aviation Services LLC), the department`s operational needs were best met by dividing the scope of Area A by terminal. Area A2 includes MIA�s concourses F, G, H, and J of the main terminal building including areas operated by the County, as well as office areas occupied by the U.S. Customs and Border Protection, TSA, and other miscellaneous areas. A total of four meetings with staff and Flagship Aviation Services LLC were held to negotiate the final contract terms including, but not limited to, scope of work, minimum staffing levels, price schedule, payment milestones, and smart restroom provisions.

Accordingly, to follow the Board�s directive, it is in the County�s best interest to award this bid waiver contract pursuant to Section 5.03(D) of the Home Rule Charter and Section 2-8.1(b)(1) of the Miami-Dade County Code to benefit from the negotiated terms for the purchase janitorial services for Area A2 at MIA.

Scope
Miami International Airport is located within District 6, which is represented by Commissioner Kevin Marino Cabrera; however, the impact of this item is countywide.

Fiscal Impact/Funding Source
The fiscal impact for the five-year term is $131,292,181 and includes a 10 percent contingency amount to offset future Living Wage and Consumer Price Index (CPI) price increases contemplated by the contract�s terms and conditions, and to cover as-needed additional positions and additional Smart Restrooms, as well as parts and equipment for light restroom maintenance. The current contract has a value of $73,689,659 for a four year and ten-month term and expires on May 31, 2025. The allocation under the proposed contract is higher than the current contracts due to a change in scope which includes smart restroom technology, increased window washing frequency, and light maintenance in restrooms, as well as the aforementioned contingency. In addition, market conditions have been impacted by the Living Wage which has increased by an average of approximately 4.3 percent, and the CPI has increased by approximately 30 percent since the current contract was established in 2020.

Due Diligence
Pursuant to Resolution No. R-187-12, due diligence was conducted in accordance with SPD�s Procurement Guidelines to determine contractor responsibility, including verifying corporate status and that there are no performance or compliance issues through various vendor responsibility lists and a keyword internet search. The lists that were referenced included convicted vendors, debarred vendors, delinquent contractors, suspended vendors, and federal excluded parties. There were no adverse findings relating to contractor responsibility.

Applicability of Ordinances and Contract Measures
� The two percent User Access Program does not apply.
� A 15 percent Small Business Enterprise subcontractor goal applied.
� The Living Wage Ordinance applies.
