WHEREAS, this Board desires to accomplish the purposes outlined in the accompanying Mayor�s Memorandum, a copy of which is incorporated herein by reference,

NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF MIAMI-DADE COUNTY, FLORIDA, that this Board (1) approves Amendment No. 2 to the Professional Services Agreement (�PSA�) between Miami-Dade County and AECOM TECHNICAL SERVICES, INC., Contract A19-ISD-02 GOB ESP, for architectural and engineering construction management services as the Owner�s Representative and design criteria professional on behalf of Miami-Dade County for the New Civil and Probate Courthouse project, in substantially the form attached to the accompanying memorandum as Exhibit A and made a part hereof, which extends the term of the PSA an additional 10 months; (2) authorizes additional expenditure authority up to $335,050 for a total modified contract amount of $6,008,597, to be funded from Building Better Communities General Obligation Bond Program funds; and (3) authorizes the County Mayor or the County Mayor�s designee to execute Amendment No. 2 to the PSA and exercise all provisions contained therein.

STAFF RECOMMENDATION
Executive Summary
This item reflects the scope of work for Amendment No. 2 to the Professional Services Agreement (PSA) between Miami-Dade County (County) and AECOM Technical Services, Inc. (AECOM). This PSA allows AECOM to continue providing architectural and engineering construction management services, in their role as the Owner�s Representative on behalf of the County, during the final completion of the Civil and Probate Courthouse project (Courthouse Project). Amendment No. 2 will increase the value of the PSA by $335,050, taking from a total $5,673,547 to $6,008,597 and aligns the term of this PSA with the estimated duration for the final completion of the Courthouse Project, including further anticipated delays attributable to Plenary Justice Miami, LLC (Developer).

Recommendation
It is recommended that the Board of County Commissioners (Board) approve Amendment No. 2 to the PSA between the County and AECOM for continuing to provide architectural and engineering construction management services during the final completion of the Courthouse Project. This amendment is attached hereto as Exhibit A and increases the value of the PSA by $335,050 from $5,673,547 to $6,008,597 and aligns the term of this PSA with the estimated duration for the construction of the Project, including further Developer delays. More specifically, Amendment No. 2 does the following:

� Approves an increase of $335,050 to provide continued construction administration services necessitated by delays attributable to the Developer on the Courthouse Project; and
� Extends the Professional Services Agreement (PSA) term through May 31, 2026, to ensure oversight of remaining construction activities required for the to achieve the Final Certificate of Occupancy and Final Completion, including commissioning oversight, monitoring Punch List completion, and coordinating the collection of all final deliverables such as warranties, product data, and closeout documentation.

Background
On October 20, 2020, the Board approved Resolution No. R-1117-20 awarding Contract No. A19-ISD-02 to AECOM for owner representative services to be performed during the construction of the Courthouse Project. The Courthouse Project is a social infrastructure Public Private Partnership (P3) contract. The Project Agreement (Resolution No. R-1343-19/Contract No. RFP-00953) provides for the design, build, finance, operation, and maintenance (DBFOM) of a new 25-story high, 640,000 square foot civil and probate courthouse to be occupied by the Administrative Office of the Courts for the Eleventh Judicial Circuit, the Miami-Dade Clerk of the Court and Comptroller, the Law Library, the State Attorney�s Office, and the Miami-Dade County Sheriff�s Office.

The requested increase of $335,050 is necessary to extend AECOM�s construction management services through Final Completion, as defined in Section 7.20 of the Project Agreement. The extension is required due to significant delays by the Developer, who achieved Occupancy Readiness 606 days later than originally contemplated. Although the County has occupied the building, the construction of the Courthouse is not contractually complete until a Final Certificate of Occupancy is issued by the authority having jurisdiction and Final Completion is achieved in accordance with the Project Agreement. These services include:
� Assist the County in tracking, coordinating, and verifying the resolution of ongoing construction activities, including correction of deficient work and completion of Punch List items;
� Provide commissioning oversight to confirm the quality and performance of all mechanical and electrical systems; and
� Oversee the collection and review of final project documentation, including warranties, operating manuals, record drawings, spare parts inventories, manufacturers� certifications, and other deliverables required for project closeout.

Accordingly, AECOM�s Professional Services Agreement must be extended to account for these ongoing activities and delays, revising the contract completion date from July 31, 2025, to May 31, 2026. These extended services are critical to ensuring contractual compliance, maintaining quality assurance, and protecting the County�s interests through project completion and closeout.

Scope
The Courthouse Project is located in Commission District 5, which is represented by Commissioner Vicki Lopez; however, the scope of this item is countywide in nature.

Fiscal Impact/Funding Source
The fiscal impact for this item is $335,050 consisting of additional Owner Representative services by AECOM. This will be funded by the Building Better Communities General Obligation Bond (BBC-GOB) Program 305200, Additional Courtrooms and Administration Facilities, project 3002859, Owner�s Rep Contract. Amendment No. 2 will not increase the Courthouse Project�s overall BBC-GOB budget as shown in the FY 2025-26 Adopted Budget and Multi-Year Capital Plan.

Track Record/Monitor
Francisco �Frank� Suarez, Manager, Architecture and Engineering Services Section in the People and Internal Operations Department, is managing the Courthouse Project on behalf of the Administrative Office of the Courts. The Courthouse Project was developed in collaboration with the Chief Judge of the Eleventh Judicial Circuit, the Clerk of the Court and Comptroller, and other key stakeholders.

Delegated Authority
The resolution would authorize the County Mayor or the County Mayor�s designee to execute Amendment No. 2 and exercise all provisions contained therein.

Applicable Ordinances and Contract Measures
� A 10% Small Business Enterprise�Architectural and Engineering Services (SBE-A&E) goal applied. A review was conducted pursuant to Resolution No. R-1001-15, and the contract is not in compliance as it relates to this goal (see attached Exhibit B). The deficit in SBE-A&E participation will be addressed with AECOM through the compliance process set forth in Section 2-10.4.01 of the Miami-Dade County Code. It should be noted that the SBE-A&E goal will not apply to Amendment No. 2, as the increase in the contract amount is limited to completing project closeout activities and does not include additional work for the SBE-A&E subconsultants (see attached memo).
� The Local Preference applied.
� Responsible Wages did not apply.
