EVN0000341, AMERICAN SPORTS BAR AT MIA, TO SSP AMERICA MIA, LLC WITH PROJECTED REVENUE OF $12,000,000.00 FOR A 10-YEAR TERM FOR MIAMI-DADE AVIATION DEPARTMENT; AND AUTHORIZING THE COUNTY MAYOR OR COUNTY MAYOR�S DESIGNEE TO EXECUTE THE AGREEMENT AND TO EXERCISE ALL PROVISIONS OF THE CONTRACT, INCLUDING ANY CANCELLATION OR EXTENSIONS, PURSUANT TO SECTION 2-8.1(B) OF THE CODE OF MIAMI-DADE COUNTY, FLORIDA AND IMPLEMENTING ORDER 3-38

WHEREAS, this Board desires to accomplish the purposes outlined in the accompanying County Mayor�s memorandum, a copy of which is incorporated herein by reference,
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF MIAMI-DADE COUNTY, FLORIDA, that:
Section 1. This Board approves the award of a competitive revenue-generating contract, Contract No. EVN0000341, to American Sports Bar at MIA, in substantially the form attached and made a part hereof, to SSP America MIA, LLC with projected revenue of $12,000,000.00 for a 10-year term for the Miami-Dade Aviation Department.
Section 2. This Board authorizes the County Mayor or County Mayor�s designee to execute the agreement and to exercise all provisions of the contract, including any cancellation or extensions, pursuant to section 2-8.1 of the Code of Miami-Dade County, Florida and Implementing Order 3-38.

STAFF RECOMMENDATION
Executive Summary
This item is for award of a contract for a revenue-generating lease and concession agreement for an American sports bar food and beverage concession at the Miami-International Airport (MIA) for the Miami-Dade Aviation Department (MDAD). The concession will provide a broad menu to appeal to the maximum number of passengers and feature a U.S. stadium-inspired concept, including items typically associated with sporting venues and sports bars across the United States. The contract is projected to generate approximately $12,000,000 in revenues to MDAD over the term of the agreement.

This item directly supports MIA�s Modernization in Action initiative by advancing the airport�s comprehensive effort to modernize terminal amenities, elevate the passenger experience, and strengthen non-aeronautical revenue streams as part of its long-term Future-Ready transformation. The introduction of a contemporary sports bar concept enhances the diversity, quality, and competitiveness of MIA�s food and beverage offerings, reflecting evolving passenger expectations for elevated dining, comfort, and entertainment while traveling.

The availability of a sports bar can significantly enhance the airport experience for passengers seeking more than traditional fast-food options, offering a welcoming space to relax and unwind while awaiting flights � particularly during peak travel periods and major sporting events. Approval of this item supports MIA�s role as a leading global gateway by aligning customer experience enhancements with strategic revenue generation, while reinforcing MDAD�s commitment to delivering modern, dynamic, and passenger-focused concessions.

Recommendation
It is recommended that the Board of County Commissioners (Board) approve a revenue-generating competitive contract award, Contract No. EVN0000341, American Sports Bar at MIA, to SSP America MIA, LLC with projected revenue of $12,000,000 for a 10-year term for MDAD.

Background
A Request for Proposals was issued under full and open competition on June 23, 2024. On the closing date of September 13, 2024, the County received three proposals, including two from local firms. On September 23, 2024, the proposals were provided to the former Office of Small Business Development (SBD) for Airport Concession Disadvantaged Business Enterprise (ACDBE) goal compliance review. On October 1, 2024, SBD determined that only the proposal from SSP America MIA, LLC was compliant. Additionally, upon review of the proposals received, staff identified potential responsiveness issues and requested a legal opinion to ascertain whether they were responsive. Subsequently, on October 28, 2024, the County Attorney�s Office (CAO) deemed two proposals non-responsive, as they both failed to submit pricing.
An evaluation meeting was held on December 12, 2024. Negotiations commenced on February 20, 2025, and concluded on April 4, 2025, as there were delays associated with scheduling conflicts. Edits were required to the negotiated contract, due to revised guidance from the Federal Aviation Administration (FAA) which required the integration of new or updated federal provisions into Miami-Dade County agreements to maintain eligibility for federal funding. Additionally, new terms were added to the lease agreement recently approved by the Board for MIA concessions, to include, but not be limited to, mobile app participation, increased fees for damages/violations, revised payment security requirements, customer experience fee, common infrastructure and maintenance fee, revised amortization schedule requirements, market basket/pricing policy, and transfer fees on sale or assignment. Further delays were caused as the vendor took several months to provide a copy of their executed joint venture agreement and other pertinent information, in addition to requests for edits to the agreement that were not originally approved by the County. A copy of the Coordinator�s Report is attached.
The contract provides for the finance, design, construction, management, operation, and maintenance of an American Sports Bar food and beverage concept. This concession will be located on the third floor of the Concourse E Satellite Building at MIA. The bar will provide a menu which includes a full range of breakfast, appetizers, hot meals, salads, desserts, and healthy options for the traveling public. Menu items will be priced to be considered as �reasonable� to Airport patrons and both domestic and international travelers. Menu items and pricing offered for sale are subject to MDAD�s approval. The contract requires that the vendor pays the County the greater of either a percentage of gross revenues earned at its location (18% for alcohol sales and 14% for all other sales) or the prevailing Class VI Terminal rental rate for the lease of the location.

Scope
MIA is located within District 6, which is represented by Commissioner Natalie Milian Orbis; however, the impact of this item is countywide in nature.

Fiscal Impact/Funding Source
There will be a positive fiscal impact to the County for the 10-year term in the estimated amount of $12,000,000. The projected revenue is based on the vendor providing a percentage fee of gross revenues earned at 18% for alcohol sales and 14% for all other sales.

Due Diligence
Pursuant to Resolution No. R-187-12, due diligence was conducted in accordance with SPD�s Procurement Guidelines to determine vendor responsibility, including verifying corporate status and that there are no performance and compliance issues through various vendor responsibility lists and a keyword internet search. The lists that were referenced included convicted vendors, debarred vendors, delinquent contractors, suspended vendors, and federal excluded parties. There were no adverse findings relating to vendor responsibility.

Pursuant to Resolution No. R-252-25, efforts were made to identify any potential piggybacking opportunities prior to issuance of a competitive solicitation. No contracts were identified for accessing.

Applicability of Ordinances and Contract Measures
� The two percent User Access Program does not apply.
� The Small Business Enterprise Selection Factor and Local Preference do not apply. A 15% ACDBE Goal applied to the original solicitation; however, in compliance with a U.S. Department of Transportation Interim Final Rule regarding DBE and ACDBE Program Implementation effective October 3, 2025, this goal has been zeroed out from the contract.
The Living Wage Ordinance applies.
