RESOLUTION RATIFYING EMERGENCY CONTRACT NO. E-10632, CA IDMS SOFTWARE LICENSES, MAINTENANCE AND SUPPORT SERVICES, TO A&I SOLUTIONS, INC. IN THE AMOUNT OF $4,927,515.00 FOR A TWO-YEAR TERM FOR THE COMMUNICATIONS, INFORMATION AND TECHNOLOGY DEPARTMENT; AND AUTHORIZING THE COUNTY MAYOR OR COUNTY MAYOR�S DESIGNEE TO EXERCISE ALL PROVISIONS OF THE CONTRACT, INCLUDING ANY CANCELLATION OR EXTENSIONS, PURSUANT TO SECTION 2-8.1 OF THE COUNTY CODE AND IMPLEMENTING ORDER 3-38

WHEREAS, this Board desires to accomplish the purposes outlined in the accompanying memorandum, a copy of which is incorporated herein by reference,

NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF MIAMI-DADE COUNTY, FLORIDA, that:

Section 1. This Board finds it is in the best interest of Miami-Dade County to ratify Emergency Contract No. E-10632, CA IDMS Software Licenses, Maintenance and Support Services, to A&I Solutions, Inc. in the amount of $4,927,515.00 for a two-year term for the Communications, Information and Technology Department.

Section 2. This Board authorizes the County Mayor or County Mayor�s designee to exercise all provisions of the contract, including any cancellation or extensions, pursuant to section 2-8.1 of the Code of Miami-Dade County and Implementing Order 3-38. A copy of the contract is on file with and available upon request from the Strategic Procurement Department.

Subject: Recommendation for Ratification of a Contract Award for CA IDMS Software Licenses, Maintenance, and Support Services

STAFF RECOMMENDATION
Summary
This item seeks ratification by the Board of County Commissioners (Board) of an emergency contract award for the continuation of required maintenance and support services for the CA Integrated Database Management System (CA IDMS) software application utilized by the Communications, Information and Technology Department (CITD) managing multiple County departments� and Constitutional offices� operational and financial services. An emergency was declared by the CITD Director to ensure continuity of services.

CA IDMS plays a critical role in the automated monitoring of public safety applications and the integrations of various systems across County operations facilitating data communications and financial services for County departments and Constitutional offices. CITD relies on the functionality of CA IDMS to support the core County mainframe applications that run hundreds of millions of transactions annually including Building and Zoning permitting inspections; Code Enforcement fine collections; the Clerk of the Court and Comptroller�s Financial system; Criminal Justice Information System; Inmate Profile; Parking Violation; Traffic Information; Value Adjustment Board; and Property Tax Assessment Systems. These tools are widely used by County and Constitutional office staff in public safety, emergency response, and public-facing service functions such as criminal justice, parking violations, waste collection, and auto-tag processing for Miami-Dade County residents. It is critical to ensure the CA IDMS database management system remains fully licensed and supported for these mission critical applications and operations without disruption.

Recommendation
It is recommended that the Board ratify the award of Emergency Contract No. E-10632, CA IDMS Software Licenses, Maintenance and Support Services, to A&I Solutions, Inc. (A&I) in the amount of $4,927,515 for a two-year term for CITD.

Background
The CA IDMS database toolset, related licenses, and products were first acquired by the County in the early 1980s. Since that time, the CA IDMS system has become an integral component of the County�s core business applications, supporting more than 30 database application systems. Following the initial acquisition, the County awarded several legacy contracts to CA Technologies, Inc. (CA Technologies), as the firm was the sole copyright holder and exclusive provider of the CA IDMS software, maintenance, and support services.

The Board approved the legacy CA Master Software contract (L8255-0/22) via Resolution No. R-818-19 in July 2019 for a three-year term. Due to its proprietary nature, a three-year extension was granted by the Board in September 2022 via Resolution No. 803-22, setting a new expiration date of September 30, 2025. Staff began re-procurement in March 2024, nineteen months prior to the contract�s expiration, and requested renewal pricing from CA Technologies in April 2024 after analyzing the scope of work. However, despite repeated requests, CA Technologies declined to provide a quote, claiming the request was premature given the expiration date. Subsequently, CA Technologies was acquired by Broadcom, the new copyright holder. In October 2024, staff shifted its pricing requests and efforts to working with Broadcom.
With the acquisition of CA Technologies, Broadcom restructured its pricing and distribution model. In May 2025, Broadcom launched the Accelerate Program, transitioning distribution of certain software products, including CA IDMS, to a sole-provider model under Carahsoft Technology Corp. (Carahsoft). Staff commenced re-procurement efforts through Carahsoft; however, due to Carahsoft�s corporate distribution policies, the firm declined to negotiate or enter into a direct agreement with the County. Carahsoft directed staff to work exclusively through its authorized reseller network.

The Strategic Procurement Department (SPD) and CITD continued with research efforts to confirm pricing competitiveness within Carahsoft�s authorized reseller network. Staff researched alternative procurement options including direct negotiations and accessing NASPO and OMNIA cooperative contracts; however, pricing available through other Carahsoft-authorized resellers was determined to be cost-prohibitive. A competitive solicitation, EVN0037275, was issued on September 9, 2025, and three bids were received on September 22, 2025. The lowest bidder, A&I, was deemed non-responsive by the County Attorney�s Office, as the vendor qualified its pricing to be valid for two days only. The remaining bidders, Insight Public Sector, Inc. and SHI International Corp., submitted pricing exceeding the lowest bidder�s pricing by 11 percent and 20 percent, respectively. SPD engaged both responsive vendors in negotiations to explore potential cost reductions without modifying technical specifications or licensing terms; however, neither vendor was able to provide sufficient discounts to align with CITD�s allocated budget. The solicitation resulted in a recommendation to reject all bids.

On September 30, 2025, to ensure uninterrupted access to CA IDMS licenses, maintenance, and support services, and to avoid a $3 million penalty for the re-instatement should there be a lapse in renewal, the CITD Director declared an emergency and recommended contracting with A&I, the lowest bidder on the competitive solicitation. A two-year term was recommended, as the pricing offered for the two-year term presented a cost avoidance of approximately $500,000 annually.

SPD, in coordination with CITD, is actively conducting research to identify the most appropriate procurement vehicle for establishing a replacement contract. The current focus of these efforts is to ensure continuity of mission-critical operations while simultaneously advancing the County�s long-term technology modernization objectives. As part of this initiative, CITD is evaluating available enterprise software solutions that could support a transition away from legacy CA IDMS dependencies. These ongoing research and planning efforts are aligned with the County�s strategic technology roadmap and seek to minimize operational risk by ensuring that any transition is well-coordinated, financially sustainable, and technically sound. The overarching goal is to position the County to reduce reliance on CA IDMS tools while maintaining full continuity of essential business functions.

The scope of this item is countywide in nature.

Due Diligence
Pursuant to Resolution No. R-187-12, due diligence was conducted in accordance with SPD�s Procurement Guidelines to determine vendor responsibility, including verifying corporate status and that there are no performance and compliance issues through various vendor responsibility lists and a keyword internet search. The lists that were referenced included convicted vendors, debarred vendors, delinquent contractors, suspended vendors, and federal excluded parties. There were no adverse findings relating to vendor responsibility.

Applicability of Ordinances and Contract Measures
