| REPORT: | The foregoing proposed resolution was deferred to June 8, 2026 ASC meeting with the setting of the agenda. During consideration of Agenda Item 3I, Chairwoman Cohen Higgins requested a status update on the airport's concessionaire program, referencing the pool of prospective businesses established under a prior item and asking whether those firms had been able to bid on new airport spaces. Mr. Cutie reported that the Board had approved a 15-year extension of many of the airport's concession areas the previous April, which included a three-year implementation phase for the design and refurbishment of those spaces. He explained that the department was fully engaged in the first two phases, with concessions either under design or under construction. Mr. Cutie pointed out that one space had been completed and another was about to begin construction, and that the department expected to enter the third phase on May 23. He noted that a few areas were slightly behind schedule and were expected to recover during the third phase, and that the department was finalizing discussions on marketplace concessions that fell outside the agreement, along with several service contracts. Mr. Cutie added that the implementation work would not be complete in time for the World Cup but was progressing well, and that the department was also negotiating the pool of 45 firms, with solicitations to follow for spaces expected to become available. | ||||||

TITLE RESOLUTION AUTHORIZING WAIVER OF COMPETITIVE BIDDING PROCEDURES PURSUANT TO SECTION 5.03(D) OF THE HOME RULE CHARTER AND SECTION 2-8.1(B) OF THE COUNTY CODE BY A TWO-THIRDS VOTE OF THE BOARD MEMBERS PRESENT AND AWARD A NON-COMPETITIVE REVENUE-GENERATING CONTRACT, CONTRACT NO. BW-10479, AIRBALL SPORTS II, LLC LEASE AND CONCESSION AGREEMENT, TO AIRBALL SPORTS II, LLC WITH PROJECTED REVENUE OF $17,000,000.00 FOR AN EIGHT-YEAR TERM WITH ONE, TWO-YEAR OPTION TO RENEW FOR THE MIAMI-DADE AVIATION DEPARTMENT; AND AUTHORIZING THE COUNTY MAYOR OR COUNTY MAYOR�S DESIGNEE TO EXERCISE ALL PROVISIONS OF THE CONTRACT, INCLUDING ANY CANCELLATION, RENEWAL OR EXTENSIONS, PURSUANT TO SECTION 2-8.1(B) OF THE CODE OF MIAMI- DADE COUNTY, FLORIDA AND IMPLEMENTING ORDER 3- 38 BODY WHEREAS, this Board desires to accomplish the purposes outlined in the accompanying memorandum, a copy of which is incorporated herein by reference, NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF MIAMI-DADE COUNTY, FLORIDA, that: Section 1. This Board finds it is in the best interest of Miami-Dade County to waive competitive bidding procedures pursuant to section 5.03(D) of the Home Rule Charter and section 2-8.1(b) of the County Code by a two-thirds vote of the Board members present and award a non-competitive revenue-generating contract, Contract No. BW-10479, Airball Sports II, LLC Lease and Concession Agreement, in substantially the form attached and made a part hereof, to Airball Sports II, LLC with projected revenue of $17,000,000.00 for an eight-year term with one, two-year option to renew for the Miami-Dade Aviation Department. Section 2. This Board authorizes the County Mayor or County Mayor�s designee to exercise all provisions of the contract, including any cancellation, renewal, or extensions, pursuant to section 2-8.1 of the Code of Miami-Dade County, Florida and Implementing Order 3-38. HEADER Date: To: Honorable Chairman Anthony Rodriguez and Members, Board of County Commissioners From: Daniella Levine Cava Mayor Subject: Recommendation to Waive Competitive Bidding Procedures and Award a Non-Competitive Revenue-Generating Lease and Concession Agreement with Airball Sports II, LLC STAFF RECOMMENDATION Executive Summary This item is for the award of a revenue-generating lease and concession agreement to Airball Sports II, LLC (Airball) for a Miami Heat-licensed merchandise retail concession at Miami International Airport (MIA) for the Miami-Dade Aviation Department (MDAD). Airball holds the exclusive rights to operate a Miami Heat franchise retail store at MIA and will be responsible for financing, operating, and maintaining a high-quality, state-of-the-art retail concession in Concourse D. The Concessionaire must ensure compliance with MDAD standards, provide exceptional customer service, maintain accurate financial and operational reporting, and ensure operations reflect the character of the South Florida region and meet first-class airport retail standards. The award of this contract supports MIA�s role as a leading global airport while contributing to the sense of place at MIA and is projected to generate $17 million in revenues to the County over the life of the contract. This agreement will replace the existing month-to-month lease currently held by Airball, ensuring continuity of operations and maintaining the presence of this popular, locally-branded retail concept. MIA is America�s second-busiest airport for international passengers, boasting a lineup of over 90 air carriers, serving 1,000 daily flights, and processing over 152,000 travelers daily. In 2025, MIA processed 55.3 million passengers, with approximately 45% of passengers traveling internationally. MIA offers more flights to Latin America and the Caribbean than any other U.S. airport; it primarily serves as the vital connection point between the U.S. and these regions. MIA�s vision is to become a global airport of choice that offers customers a world-class experience. Recommendation It is recommended that the Board of County Commissioners (Board) waive competitive bidding procedures pursuant to Section 2-8.1(b)(1) of the Miami-Dade County Code (Code), by a two-thirds vote of the Board members present, and award a non-competitive revenue-generating contract, Contract No. BW-10479, Airball Sports II, LLC Lease and Concession Agreement, to Airball with projected revenue of $17,000,000 for an eight-year term with one, two-year option to renew for MDAD. This contract will replace Contract No. R-1110-11 approved by the Board via Resolution No. R-1110-11 on December 19, 2011. Background This contract provides for a Miami-Heat branded retail store located in Concourse D at MIA and brings a unique, local professional sports franchise merchandising concept to MIA that enhances the airport�s sense of place. The store offers a full assortment of Miami Heat-licensed merchandise including team-licensed gear, jerseys, and novelty items year-round, distinguishing it from other retailers that carry limited team items primarily during the NBA season. The Miami Heat store is also fully branded and acts as an attraction point at MIA which draws sports fans. This contract provides for the continued financing, management, operation and maintenance of a Miami Heat retail store at MIA. The contract requires that Airball pay the County the greater of either ten percent (10%) percent of gross revenues earned at its location or the prevailing Class VI Terminal rental rate for the lease of the location. Market Research did not identify any other vendors who would be authorized to operate a Miami Heat-licensed retail store. Airball is the only vendor authorized to operate a Miami Heat franchise retail store at MIA. Unlike other retailers who may sell a selection of Miami Heat items, the sole focus of this store is offering a full range of Miami Heat licensed merchandise year-round. As such, approval of a bid waiver in lieu of a competitive process is recommended. Accordingly, it is in the County�s best interest to award this bid waiver contract pursuant to Section 2-8.1(b)(1) of the Code for the provision of a Miami Heat-licensed merchandise retail concession. Scope Miami International Airport is located within District 6, which is represented by Commissioner Natalie Milian Orbis; however, the impact of this item is countywide in nature. Fiscal Impact/Funding Source There is a positive fiscal impact to the County for the initial eight-year term of $13,600,000. Should the County choose to exercise, at its sole discretion, the one, two-year option to renew, the estimated cumulative value will be $17,000,000. The projected revenue is based on the vendor providing a percentage fee of 10% of gross revenues earned. The current contract requires a percentage fee of 8% of gross revenues earned and is currently continuing on a month-to-month basis. Percentage of employee residents is the percentage of vendor�s employees who reside in Miami-Dade County as compared to the vendor�s total workforce. Due Diligence Pursuant to Resolution No. R-187-12, due diligence was conducted in accordance with SPD�s Procurement Guidelines to determine contractor responsibility, including verifying corporate status and that there are no performance or compliance issues through various vendor responsibility lists and a keyword internet search. The lists that were referenced included convicted vendors, debarred vendors, delinquent contractors, suspended vendors, and federal excluded parties. There were no adverse findings relating to contractor responsibility. Pursuant to Resolution No. R-252-25, efforts were made to identify any potential piggybacking opportunities prior to considering a non-competitive acquisition. There are no comparable competitive contracts identified that meet the scope of services required by the County.
