RESOLUTION AUTHORIZING AWARD OF A DESIGNATED PURCHASE PURSUANT TO SECTION 2-8.1(B)(3) OF THE COUNTY CODE BY A TWO-THIRDS VOTE OF THE BOARD MEMBERS PRESENT; AUTHORIZING ADDITIONAL TIME OF FIVE YEARS AND EXPENDITURE AUTHORITY IN THE AMOUNT OF $5,307,410.00 FOR A TOTAL MODIFIED CONTRACT VALUE OF $10,031,578.00 FOR CONTRACT NO. WHEREAS, this Board desires to accomplish the purposes outlined in the accompanying memorandum, a copy of which is incorporated herein by reference,

NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF MIAMI-DADE COUNTY, FLORIDA, that:

Section 1. This Board finds it is in the best interest of Miami-Dade County to approve a designated purchase under Contract No. BW-10026, Transit Performance Analysis Software, authorizing additional time of five years and expenditure authority in the amount of $5,307,410.00 for a total modified contract value of $10,031,578.00, for Department of Transportation and Public Works.

Section 2. This Board authorizes the County Mayor or County Mayor�s designee to execute Supplemental Agreement No. 4 to Contract No. BW-10026 in substantially the form attached hereto, and to exercise all provisions therein, including any cancellation and extension provisions pursuant to section 2-8.1 of the Code of Miami-Dade County, Florida and Implementing Order 3-38. A copy of the complete set of contract documents is on file with and available upon request from the Strategic Procurement Department.

STAFF RECOMMENDATION
Executive Summary
This item seeks Board approval of a non-competitive designated purchase to provide additional time and expenditure authority for the Department of Transportation and Public Works (DTPW) to continue its annual subscription to the Transit Performance Analysis Software (Software), which is used exclusively by DTPW and no other County department. This action will extend the contract term by 60 months, through August 31, 2031, and authorize an additional $5,307,410 in expenditure authority. Since the first extension, DTPW conducted extensive market and industry outreach to identify the most effective competitive solicitation method for the software replacement, balancing open competition with project risk management. As a result, an alternative procurement method, involving a two-step process will be conducted. A Request to Advertise is anticipated to be presented to the Board in late 2026.

The Software was originally acquired to supplement the functionality of the aging Transit Computer Aided Dispatch and Automated Vehicle Locator (CAD/AVL) system and has successfully delivered key functionality to provide analytics for service planning as well as customer communications on multiple platforms as further described herein. Consistent with the principles of WISE305 to invest in technology and maintain fiscal responsibility, DTPW is taking a strategic approach to the modernization of its technology portfolio to best leverage available tools while targeting competitive replacement of aging systems. As such, the Software is anticipated to be replaced as part larger Transit CAD/AVL system replacement, but continuity of services is needed until such time as the new system is in place. To ensure best value while the Software remains in use, staff was successfully able to negotiate a cost reduction of $321,441 from the vendor�s initial proposed for the extension.

The Software, provided exclusively by Swiftly, Inc., delivers mission-critical, web-based transit performance analytics and real-time operational data across all transit modes, including Metrobus, Metrorail, Metromover, contracted services, and municipal circulators. It supports essential functions such as on-time performance monitoring, real-time vehicle tracking, predictive arrival information, and systemwide operational analysis used for both service management and customer information.

As outlined in Resolution No. R-953-25, DTPW is advancing the modernization of its Transit CAD/AVL system, which is expected to ultimately incorporate the functionality currently provided by the Software. The requested extension ensures continuity of these critical services during the procurement and multi-year implementation of the replacement Transit CAD/AVL system and aligns with the Board�s previously approved strategy to extend supporting systems as needed to avoid service disruptions.

Competition is not practicable because Swiftly is the proprietary owner and sole provider of the Software, and implementing an interim alternative would require significant time and resources while duplicating functionality planned for the future Transit CAD/AVL system. Approval of this designated purchase, pursuant to Section 2-8.1(b)(3) of the County Code, is therefore in the County�s best interest to maintain uninterrupted operations during this transition.

Recommendation
It is recommended that the Board approve a non-competitive designated purchase pursuant to Section 2-8.1(b)(3) of the Miami-Dade County Code, by a two-thirds vote of the Board members present, under Contract No. BW-10026, Transit Performance Analysis Software, to extend the contract for five years with $5,307,410 in additional expenditure authority.

Background
The Software is used across all DTPW transit modes as well as contracted routes to provide detailed analysis on on-time performance, vehicle speed, and transit trip times. It provides real-time positioning, bus stop information, expected time of arrival at all bus stops for all buses, and location of bus operator and vehicle assignments to promptly address patron inquiries. The Software includes analytical tools to better plan run time spent traveling between stops and stations and �dwell time� (time spent stopped at locations to allow passengers to board and disembark). The Software allows DTPW to take advantage of data sharing for transit information, schedules, and performance predictions in real-time that can be sent to any endpoint, including Google Maps, Apple Maps, Miami-Dade Transit Tracker, text messages, and interactive voice response systems. Further, the Software allows DTPW to identify and manage operational issues during service hours, resulting in fewer passenger calls and complaints.

As set forth in Resolution No. R-953-25, approved by the Board on October 9, 2025, DTPW anticipates incorporation of the functionality provided by the Software into the modernization of its Transit CAD/AVL system. The requested extension will ensure continuity of these services while DTPW completes the procurement process and subsequent implementation of a replacement CAD/AVL system. This extension is consistent with the approach outlined in Resolution No. R-953-25, stating the need for designated purchases to extend related supplemental systems as they approach expiration in order to align with the Transit CAD/AVL replacement timeline.

The Board initially awarded this contract through Resolution No. R-38-20 on January 22, 2020, for a three-year term. On July 6, 2023, the Board approved additional time and expenditure authority for this contract through Resolution No. R-644-23 in order to maintain continuity of services while DTPW advanced planning efforts related to the replacement of the Transit CAD/AVL system. Since that time, DTPW conducted extensive market and industry outreach to identify the most effective competitive solicitation method for system replacement, balancing open competition with project risk management. As a result, an alternative procurement method, involving a two-step process will be conducted. A Request to Advertise is anticipated to be presented to the Board in late 2026. Following the procurement, implementation is expected to take multiple years to complete.

In the interim, DTPW continues to rely on the Software to support ongoing operational monitoring and customer information needs while the existing Transit CAD/AVL system remains in service. The Software is integrated into DTPW�s operational and customer information workflows, including real-time vehicle positioning, expected time of arrival information, and performance analytics used across transit modes. Maintaining the Software during this transition period avoids a lapse in critical operational and customer-facing functionality and prevents the inefficiency and risk of implementing an interim replacement solution that would be duplicative of the planned Transit CAD/AVL replacement.

Competition is not practicable due to the proprietary nature of the Software, which is owned and supported exclusively by Swiftly. Further, implementing an interim replacement solution at this time would require substantial time and resources for configuration, integration, and training and would result in a duplicative effort and cost while the procurement process is completed and subsequent implementation of a replacement Transit CAD/AVL system. To the extent that implementation is completed prior to the expiration of the five-year term, the contract contains termination for convenience provisions. Accordingly, it is in the County�s best interest to approve this designated purchase pursuant to Section 2-8.1(b)(3) of the Miami-Dade County Code to continue providing mission-critical transit performance analysis and operational software services during this transition period.

Scope
The impact of this item is countywide in nature.

Delegated Authority
The County Mayor or the County Mayor�s designee will have the authority to execute Supplemental Agreement No. 4 and exercise all provisions of the contract, including any cancellation or extensions, pursuant to Section 2-8.1 of the County Code and Implementing Order 3-38.

Fiscal Impact/Funding Source
The contract expires on August 31, 2026, and has a current cumulative allocation of $4,724,168. This item seeks to extend the contract term by 60 months and authorize an additional expenditure authority of $5,307,410. If this request is approved, the contract will have a modified cumulative value of $10,031,578 and will expire on August 31, 2031. The requested increase in expenditure authority is based on the negotiated annual licensing and service costs associated with the Software over the proposed time extension.
