TITLE RESOLUTION AUTHORIZING A NON-COMPETITIVE DESIGNATED PURCHASE PURSUANT TO SECTION 2-8.1(B)(3) OF THE COUNTY CODE, BY A TWO-THIRDS VOTE OF THE BOARD MEMBERS PRESENT, AND AWARD CONTRACT NO. SS-10569, DABICO PCA AND 400HZ SYSTEMS, PARTS AND REPLACEMENT, TO DABICO AIRPORT SOLUTIONS, INC. IN THE AMOUNT OF $26,122,966.00 FOR AN INITIAL FIVE-YEAR TERM WITH ONE, FIVE-YEAR OPTION TO RENEW FOR MIAMI-DADE AVIATION DEPARTMENT; AND AUTHORIZING THE COUNTY MAYOR OR COUNTY MAYOR�S DESIGNEE TO EXECUTE THE AGREEMENT AND EXERCISE ALL PROVISIONS OF THE CONTRACT, INCLUDING ANY CANCELLATION, RENEWAL, OR EXTENSIONS PURSUANT TO SECTION 2-8.1 OF THE CODE OF MIAMI-DADE COUNTY, FLORIDA AND IMPLEMENTING ORDER 3-38 BODY WHEREAS, this Board desires to accomplish the purposes outlined in the accompanying memorandum, a copy of which is incorporated herein by reference, NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF MIAMI-DADE COUNTY, FLORIDA, that: Section 1. This Board finds it is in the best interest of Miami-Dade County to authorize a non-competitive designated purchase pursuant to Section 2-8.1(b)(3) of the County Code, by a two-thirds vote of the Board members present, and award Contract No. SS-10569, Dabico PCA and 400Hz Systems, Parts and Replacement, to Dabico Airport Solutions, Inc. in the amount of $26,122,966.00 for an initial five-year term with one, five-year option to renew for Miami-Dade Aviation Department. Section 2. This Board authorizes the County Mayor or County Mayor�s designee to execute the agreement, in substantially the form attached and made a part hereof, and exercise all provisions of the contract, including any cancellation, renewal, or extensions pursuant to section 2-8.1 of the Code of Miami-Dade County, Florida and Implementing Order 3-38. HEADER Date: To: Honorable Chairman Anthony Rodriguez and Members, Board of County Commissioners From: Daniella Levine Cava Mayor Subject: Recommendation for Approval of a Non-competitive Designated Purchase (Sole Source) for Preconditioned Air and 400Hz Systems, Parts and Replacement STAFF RECOMMENDATION Executive Summary This item is for the purchase of pre-conditioned air (PCA) and 400 hertz (Hz) systems, maintenance, repairs, parts, and replacements from Dabico Airport Solutions (Dabico) for the Miami-Dade Aviation Department (MDAD). The award of this contract supports Miami International Airport�s (MIA) role as a leading global airport while ensuring critical equipment is maintained to factory standards and continuously operational 24 hours a day, seven days a week. When airplanes are parked at the gate, they traditionally leave their onboard Auxiliary Power Units (APUs) running to power lights and air conditioning. Using a dedicated 400Hz ground power supply and pre-conditioned air system allows the plane to shut down these noisy, fossil-fuel-guzzling turbines while stationary, which reduces costs and is better for the environment. Dabico is the Original Equipment Manufacturer (OEM) of the Dabico systems installed at MIA and the sole provider for maintenance, repair, parts, and replacements. Competition for these goods and services is not practicable at this time because of the proprietary nature of the Dabico systems at MIA. Dabico holds proprietary licenses for products and services with no distributors or re-sellers authorized to sell and/or maintain Dabico�s equipment. MIA is America�s second-busiest airport for international passengers, boasting a lineup of over 90 air carriers, serving 1,000 daily flights, and processing over 152,000 travelers daily. In 2024, MIA processed a record-breaking 55.9 million passengers, with approximately 45% of passengers traveling internationally. MIA offers more flights to Latin America and the Caribbean than any other U.S. airport, and primarily serves as the vital connection point between the U.S. and these regions. MIA�s vision is to become a global airport of choice that offers customers a world-class experience. The scale of MIA's operations, processing tens of millions of passengers annually, through passenger loading bridges and aircraft, in which the PCAs and 400Hz systems are used to ensure these areas are sufficiently cooled and powered while aircraft are parked at gates. Recommendation It is recommended that the Board of County Commissioners (Board) approve this request for a non-competitive designated purchase (sole source) pursuant to Section 2-8.1(b)(3) of the Miami-Dade County Code (Code), by a two-thirds vote of the Board members present, and award Contract No. SS-10569, Dabico PCA and 400Hz Systems, Parts and Replacement, to Dabico in the amount of $26,122,966 for an initial five-year term with one, five-year option to renew for MDAD. This contract will replace the current sole source contract, SS9863-1/26, approved by the Board via Resolution No. R-1144-16. Background The contract provides for the maintenance, repair, and replacement of OEM parts and components of the Dabico systems installed at MIA, which include PCAs, 400Hz aircraft ground power systems, transport units, and chiller plant equipment. The PCAs are used to cool parked aircraft by conditioning the air within a housing outside of the aircraft, before pushing the conditioned air into the aircraft�s cabin. PCAs are powered by the airport�s electrical supply, saving the aircraft from having to use jet fuel to power the onboard air-conditioning systems. The PCAs also ensure passenger loading bridges, tunnels/fixed walkways and aircraft are sufficiently cooled while parked at gates. For MDAD to ensure the units are fully operational and reliable, maintenance and repairs are needed to protect and preserve the quality of the highly technologically complex equipment, and it is crucial for the department�s operations to ensure only OEM personnel perform service on this brand of equipment. Competition for these goods and services is not practicable at this time because of the proprietary nature of the Dabico systems at MIA. Dabico holds proprietary licenses for products and services with no distributors or re-sellers authorized to sell and/or maintain Dabico�s equipment. Market research conducted revealed there are other brands of PCAs and power systems; however, each brand is proprietary to the OEM requiring authorized distributor parts and/or services. MIA does use other brands of PCAs and power systems, each with correlating contracts for maintenance and service. Each service contract utilizes non-competitive means of procurement. Utilizing OEM parts and services ensures compliance with warranty requirements and will result in lower downtime for the equipment ensuring passengers are safe and mitigates potential health risks. Given the proprietary nature of the system and equipment, contracting with an alternative manufacturer would require a complete system overhaul. The overall cost to replace the Dabico system and equipment will be approximately $42,764,044 plus 20% startup cost, installation, and commissioning, which would be a major financial impact to MDAD at this time. The availability and feasibility for competition will be continually monitored to ensure the need for future designated purchases is reduced or eliminated as soon as practicable. Accordingly, it is in the County�s best interest to award this designated purchase contract pursuant to Section 2-8.1(b)(3) of the Code to purchase Dabico PCAs, power systems, and parts. Scope MIA is located within District 6, which is represented by Commissioner Natalie Milian Orbis; however, the impact of this item is countywide in nature. Fiscal Impact/Funding Source The fiscal impact for the initial five-year term is $12,252,414, including a 20% contingency amount for the purchase of additional products and/or services. Should the County choose to exercise, at its sole discretion, the one, five-year option to renew, the estimated cumulative value will be $26,122,966. The current contract is valued at $15,939,430 for a 10-year term and expires on December 31, 2026. The annualized allocation under the proposed contract is higher than the current contract due to a higher amount of equipment requiring maintenance, and changes in the contract scope. These changes include inspection, maintenance, and repairs for newly added PCA and power systems equipment, increased cost of spare parts, defined upfront annual pricing throughout the contract term, established rates for emergency onsite services, and the aforementioned contingency. In addition, market conditions have impacted costs whereby the Consumer Price Index increased by approximately 43 percent since the current contract was established in 2016. Delegated Authority If this item is approved, the County Mayor or County Mayor�s designee will have the authority to execute the agreement and exercise all provisions of the contract, including any cancellation, renewal, or extensions, pursuant to Section 2-8.1 of the Code and Implementing Order 3-38. Percentage of employee residents is the percentage of vendor�s employees who reside in Miami-Dade County as compared to the vendor�s total workforce. Due Diligence Pursuant to Resolution No. R-187-12, due diligence was conducted in accordance with SPD�s Procurement Guidelines to determine contractor responsibility, including verifying corporate status and that there are no performance or compliance issues through various vendor responsibility lists and a keyword internet search. The lists that were referenced included convicted vendors, debarred vendors, delinquent contractors, suspended vendors, and federal excluded parties. There were no adverse findings relating to contractor responsibility. Pursuant to Resolution No. R-252-25, extensive efforts were made to identify any potential piggybacking opportunities prior to considering a non-competitive acquisition. The recommended vendor was not identified on any active contracts that meet the scope of services required by the County. There are no comparable competitive contracts that could be accessed as Dabico is the proprietary manufacturer and sole source maintenance and technical support service provider for MIA�s existing Dabico equipment, and no other vendor can provide the maintenance and technical support.
