TITLE
RESOLUTION APPOINTING SIX DIRECTORS TO THE BOARD OF DIRECTORS OF THE ADRIENNE ARSHT CENTER TRUST, INC.

BODY
WHEREAS, on September 5, 2018, this Board adopted Resolution No. R-868-18, approving the seventh amended and restated operating and management agreement between Miami-Dade County and the Adrienne Arsht Center Trust, Inc. (�Trust�), a Florida not-for-profit corporation, and the third amended and restated articles of incorporation (�Articles�) of the Trust; and
WHEREAS, the Trust is responsible for the management, operations and maintenance of the Adrienne Arsht Performing Arts Center owned by the County and located at 1300 Biscayne Blvd., within County Commission District 3; and
WHEREAS, the Articles of the Trust provide that the affairs of the Trust shall be managed by a Board of Directors comprised of up to 55 members, 21 of which shall be appointed by Miami-Dade County- one director appointment by each of the 13 County Commissioners, two directors appointed by the County Mayor, and six at-large directors appointed by the entire Board of County Commissioners; and�
WHEREAS, the Articles provide that for all director appointments, the Trust may advise the appointing authority of any special characteristics or professional skills that it is seeking to strengthen or balance the Board and may also suggest potential nominees for consideration of the Board; and
WHEREAS, the Board may appoint those directors that the Board deems will best serve the interests of the Trust and the County; and
WHEREAS, the Trust has suggested potential nominees for consideration by this Board, as evidenced in the attached correspondence; and
WHEREAS, this Board desires to appoint the following six individuals as the Board�s at-large director appointments to the Trust�s board of directors for three-year terms: Norma Jean Abraham; Tania Dominguez; Sean Gazitua; Liliam Lopez; Larry Quinlan; and County Commission District 3 Commissioner Keon Hardemon,
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF MIAMI-DADE COUNTY, FLORIDA, that:
Section 1. The foregoing recitals are incorporated in this resolution and are approved.
Section 2. This Board appoints the following six individuals as the Board�s at-large director appointments to the Trust�s board of directors for three-year terms: Norma Jean Abraham; Tania Dominguez; Sean Gazitua; Liliam Lopez; Larry Quinlan; and County Commission District 3 Commissioner Keon Hardemon.
