TITLE RESOLUTION APPROVING PROFESSIONAL SERVICES AGREEMENT BETWEEN MIAMI-DADE COUNTY AND CARTY ARCHITECTURE, LLC FOR MIA CENTRAL TERMINAL REDEVELOPMENT � PHASE 1, CONTRACT NO. A23AV02, IN AN AMOUNT NOT TO EXCEED $39,878,678.00 FOR A TERM OF SEVEN YEARS AND AUTHORIZING THE COUNTY MAYOR OR COUNTY MAYOR�S DESIGNEE TO EXECUTE THE AGREEMENT AND TO EXERCISE THE TERMINATION AND OTHER PROVISIONS CONTAINED THEREIN BODY WHEREAS, this Board desires to accomplish the purposes outlined in the accompanying memorandum and documents, copies of which are incorporated herein by reference, NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF MIAMI-DADE COUNTY, FLORIDA, that this Board: Section 1. Approves the Professional Services Agreement (�PSA�) between Miami-Dade County and Carty Architecture, LLC for design services to redevelop the Central Terminal at Miami International Airport, Contract No. A23AV02, in an amount not to exceed $39,878,678.00 for a term of seven years with no renewal options, in substantially the form attached hereto and made a part hereof. Section 2. Authorizes the County Mayor or County Mayor�s designee to exercise all the provisions contained in the PSA including the termination provisions, as well as all relevant authorities granted the County Mayor or County Mayor's designee pursuant to Sections 2-285 and 2-285.2 of the Miami-Dade County Code, including the authority to execute the PSA. Gilbert, III and Members, Board of County Commissioners From: Daniella Levine Cava Mayor Subject: Contract Award Recommendation to Carty Architecture, LLC for Professional Design Services to Redevelop the Central Terminal at Miami International Airport, Phase 1: Contract No. A23AV02 STAFF RECOMMENDATION SUMMARY This item is recommending the County enter into a Professional Services Agreement (PSA) with Carty Architecture, LLC (Carty Architecture) for the provision of professional architectural and engineering design services to redevelop the Central Terminal at Miami International Airport (MIA). Through the implementation of certain capital improvements under the first phase of this redevelopment project, the older terminal facilities within the Central Terminal and Concourses E and F will be modernized to provide MIA�s travelers with a fresh and futuristic customer experience. These capital improvement projects, among other things, will furnish the infrastructure to support new technologies; raise the roof structure to allow natural light to enter the terminal; create a secure connection between Concourses E and F and the North and South Terminals at the second and third levels; enlarge passenger circulation and concession spaces; and increase capacity at the security checkpoints. The PSA has a maximum total contract award of $39,878,678.00, inclusive of a 10 percent contingency of $3,562,982.00, $587,892.00 for Art in Public Places and $97,982.00 for the Office of the Miami-Dade County Office of the Inspector General (OIG). The term of this PSA is for seven (7) years with no options to renew and becomes effective upon execution of the agreement. The term shall remain effective until all services are completed or until those service orders in force at the end of the term have been completed or accepted, whichever may be later. RECOMMENDATION It is recommended that the Board of County Commissioners (Board) approve a competitive award of a PSA to Carty Architecture entitled: �Professional Services Agreement for MIA Central Terminal Redevelopment � Phase 1, Contract No. A23AV02� for a term not to exceed seven (7) years with no renewal options, in the maximum amount of $39,878,678.00, which includes a 10 percent contingency of $3,562,982.00; $587,892.00 for Art in Public Places; and $97,982.00 for the OIG. This contract award recommendation was prepared by the Miami-Dade Aviation Department (Aviation Department or MDAD). SCOPE Carty Architecture will provide the following professional design services for the demolition, renovation, and new building infill for the redevelopment of the Central Terminal and Concourses E and F: � New four-level infill building between Concourses E-F, which will be achieved through a phased demolition plan and partial removal of existing building areas including the ramp, concourse and third levels. � New corridor between Concourses E-F to preserve the right-of-way to the North Terminal�s Federal Inspection Service (FIS) Center. � New connector/circulation between Concourses E-F to facilitate passenger circulation between Concourses �E� to �F� to provide more concession options to passengers and more revenue generation for the airport. � New concession spaces between Concourses E-F have been identified to offer new concession concepts and more diverse options. � Spaces for future hold rooms to organize passenger flows and maximize commercial program exposure. � New infrastructure for new passenger and conveying systems to support facility operations (such as passenger and freight elevators, escalators, etc.) with a dedicated delivery point for goods and services within the new four-level infill building. � Expansion of the Concourse F Security Checkpoint in a new location to simplify passenger circulation and integrate portions of the Concourse F Security Checkpoint. MIA is located in District 6 which is represented by Commissioner Kevin M. Cabrera; however, the impact of this agenda item is countywide as MIA is considered to be a regional asset. The prime and subconsultant project technical certification requirements consist of: 4.02, Aviation Systems - Architectural Design; 18.00, Architectural Construction Management; 4.01, Aviation Systems - Engineering Design; 8.00, Telecommunication System; 9.01, Soils, Foundations and Materials Testing - Drilling, Subsurface Investigation and Seismographic Services; 9.02 Soils, Foundations and Materials Testing � Geotechnical and Material Engineering Services; 11.00, General Structural Engineering; 12.00, General Mechanical Engineering; 13.00, General Electrical Engineering; 14.00, Architecture; 15.01, Surveying and Mapping � Land Surveying; 15.02, Surveying and Mapping � Aerial Photogrammetry; 15.03, Surveying and Mapping � Underground Utility Location; 16.00, General Civil Engineering; 17.00, Engineering Construction Management; 22.00, ADA Title II Consultant. DELEGATED AUTHORITY This Board authorizes the County Mayor or County Mayor�s designee to exercise the provisions of the PSA, including the authority to execute Contract No. A23AV02, the authority to exercise the termination provisions, and all relevant authorities granted pursuant to Sections 2-285 and 2-285.2 of the Miami-Dade County Code. BACKGROUND The Central Terminal is a key part of MIA�s infrastructure. It houses various essential services and facilities including airport support offices, ticketing counters, concession spaces, and security checkpoints. Although the Central Terminal is older than other sections of MIA and has outdated facilities, it continues to play an essential role in MIA�s operations. The purpose of this redevelopment project is to improve overall customer satisfaction and customer loyalty within the Central Terminal by providing air travelers with ultra-modern, stylish facilities and technology-driven solutions that improve convenience, promote efficiencies, and create an innovative environment. These upgrades will also ensure compliance with the current building and life safety codes, which is crucial in order to provide MIA�s employees, passengers and visitors with a safe, efficient, and comfortable airport environment. The work authorized by this PSA will begin only after a service order is issued to Carty Architecture by the Aviation Department. Work will continue based upon the issuance of subsequent service orders. Each service order shall specify the scope of work including the deliverables, the time of completion, and the total compensation amount for the services authorized. The seven-year term of this PSA becomes effective upon the execution of the agreement by all parties, the term shall remain effective until all services are completed or until those service orders in force at the end of the term have been completed or accepted, whichever may be later. All firms were evaluated in accordance with Section 2-10.4 of the Miami-Dade County Code, Implementing Order 3-34, and Administrative Order 3-39. In accordance with the legislation, Carty Architecture is the recommended firm. FISCAL IMPACT/FUNDING SOURCE This PSA is valued at $39,878.678.00 for a term of seven years with no options to renew. PROCUREMENT HISTORY The Request to Advertise was filed with the Clerk of the Board on February 8, 2024. A total of 11 proposals were received by the submittal deadline of March 22, 2024. The proposals submitted by U.S. South Engineering & Testing Lab, Inc., Genesis Fortune, LLC, and Behar Font Lamela, LLC, did not meet the prequalification/technical certification requirements pursuant to the requirements delineated in the Notice to Professional Consultants (NTPC). On April 10, 2024, the County�s Small Business Development (SBD) Division reviewed the proposals and deemed that eight (8) firms were compliant with the 20 percent Disadvantage Business Enterprise (DBE) contract measure established for this project (Stantec Consulting Services, Inc., EXP US Services, Inc., LEO A DALY Company, Bermello Ajamil & Partners, Inc., Zyscovich, LLC, Perkins & Will Architects, Inc., Hellmuth Obata & Kassabaum, Inc., and Carty Architecture). Consequently, the proposals from U.S. South Engineering & Testing Lab, Inc., Genesis Fortune, LLC, and Behar Font Lamela, LLC, were not evaluated by the Competitive Selection Committee (CSC). (See Attachment B��: Project Worksheet and Compliance Review) Pursuant to County Resolution No. R-62-22, which amended Implementing Order 3-34, and became effective on July 11, 2022, the CSC was provided with all reports and findings of the OIG and the Office of the Commission on Ethics and Public Trust (COE) regarding any Proposer and their proposed subcontractor(s) for consideration while scoring in accordance with the applicable criteria identified in the solicitation. On April 3, 2024, the OIG notified the CSC Coordinator that upon their review no reports or findings of significant impact were located for this (A23AV02) project. On April 15, 2024, the COE responded and indicated that a search of its closed complaint files for complainant and respondent data fields was performed, and none were found, which means there were no problems found with the Prime or the subconsultants that participated in the proposal. On April 22, 2024, at the First-Tier meeting, the CSC evaluated all responsive and responsible proposals and deemed the information sufficient to determine the qualifications of the teams. The CSC was tasked with evaluating the experience and qualifications of the Proposers and scored and ranked the proposals in accordance with the evaluation criteria outlined in the solicitation. The committee was provided with the proposals for their review 17 days prior to the evaluation meeting. Upon completion of the scoring the high and low scores were dropped for each criterion for all evaluated proposers. This process addressed outliers in the scoring by effectively eliminating said high and low scores from being factored in the final ranking and all ties were broken using the standard tie-breaking procedure, as described in Section 3.3, Proposal Evaluation, of the NTPC. It�s important to note that four of the five committee members ranked the recommended firm as their number one. By majority vote, the CSC decided to forego Second-Tier proceedings and recommended the number one ranked firm, Carty Architecture, for negotiation of this PSA. See Table A below. Table A. DUE DILIGENCE Pursuant to R-187-12, MDAD conducted due diligence in accordance with the Strategic Procurement Department (SPD) guidelines to determine vendor responsibility including verifying corporate status and that no performance or compliance issues exist. The lists referenced include Capital Improvements Information System, SBD Division database, Sunbiz, Tax Collector�s Office, convicted vendors, debarred vendors, delinquent contractors, suspended vendors, and federal excluded parties list. Also examined as part of this due diligence: Florida Division of Business and Professional Regulation. There were no adverse findings relating to vendor responsibility. A review of the County�s Capital Improvements Information System showed the recommended vendor has an average evaluation score of 3.9 out of a possible maximum score of 4.0, which is indicative of good performance. (See Attachment D: Contractor Evaluations Report). According to the Firm History Report, as provided by SBD, within the last three years, Carty Architecture has received one (1) contract as a Prime Contractor with a value of $5,513,750.00. For the time period April 2015 � August 2018, Carty Architecture received three (3) contracts as a Prime Contractor with a value of $974,549.00 making for a total value of $6,488,299.00.
