REPORT: Assistant County Attorney Altanese Phenelus read the title of the foregoing proposed resolution into the record. It was moved by Commissioner Heyman that the foregoing proposed resolution be adopted. This motion was seconded by Commissioner Moss, followed by a discussion. Commissioner Heyman noted Lenlyn Limited d/b/a Ice Currency Services USA had this contract for about 28 years. She pointed out that receptacles were authorized by the Board to be placed at MIA to support nonprofit organizations with many restrictions. Commissioner Heyman explained that currency vendors agreed to do this without a charge to accommodate people wanting to leave currency to support the Pet Trust and the Parks Foundation while traveling to and from this Country, noting this provided a large sum of revenue. She said that there were two receptacles assigned to each organization and the agreement included the currency vendor would provide services at no cost in addition to accepting change. In response to Commissioner Heyman comments to ensure these terms remained with the contract extension, Mr. Robert Warren, Assistant Aviation Director for Concession Business Development, noted the terms of the agreement remained the same. Chairwoman Sosa commented on her research resulting in an improved market rather than a declining market from what was listed in the analysis report because the total gross sales reported with pensions showed an increase over the past few years. Chairwoman Sosa recommended that the report language be evaluated before it was presented to the County Commission to ensure the reported numbers were accurate. In response to Commissioner Souto’s question regarding a required certification for Miami International Airport, Mr. Warren noted this Request for Proposal (RFP) was for the seven locations in the Central and South terminals. Mr. Warren also noted the Airport had 6 million square feet and a total of 12 receptacles. Commissioner Souto commented on the need to have additional receptacles. Chairwoman Sosa noted this proposal was offering what the market needed because some locations were by security entrances while others were by the security exits and the design was based on the terminal map with designated locations, which she believed sufficient. In response to Commissioner Souto’s question about the number of receptacles accepting foreign currency, Mr. Warren noted there were four. Discussion ensued between Commissioner Souto and Mr. Warren regarding the MIA having about 44 million international travelers annually, noting the need for more receptacles. Commissioner Heyman spoke about the process creating this proposal and the items taken into consideration after having several restrictions, which included solicitation of charities for the first time. She noted the changes would allow the Aviation Department to become a public service outreach and a nonprofit entity to improve County services for animals and parks. Commissioner Heyman noted the children’s play areas now needed to be explored. She addressed Chairwoman Sosa’s concern regarding the analysis and explained it was referring to the nature of this industry declining and the lack of vendors applying to compete. Chairwoman Sosa pointed out ICE Currency Services USA had a local office in Miami-Dade County. There being no further questions or comments, the Committee proceeded to vote that the foregoing proposed resolution be forwarded to the Board of County Commission with a favorable recommendation, as presented.

REPORT: Assistant County Attorney Oren Rosenthal read the title of the foregoing proposed resolution into the record. It was moved by Commissioner Heyman that the foregoing proposed resolution be adopted. This motion was seconded by Commissioner Moss, followed by a discussion. Chairwoman Sosa noted that she needed have a discussion on this item therefore, the EDTC proceeded to vote that the foregoing item be deferred to the January 19, 2018 EDTC meeting.

D/B/A ICE CURRENCY SERVICES USA, WITH A MINIMUM ANNUAL GUARANTEE OF $608,000.00, FOR THE LOCATIONS, OR A PERCENTAGE FEE OF 6.30%, WHICHEVER IS GREATER, FOR A TERM OF THREE (3) YEARS, WITH THREE (3) ONE-YEAR OPTIONS TO RENEW; AND AUTHORIZING THE COUNTY MAYOR OR COUNTY MAYOR�S DESIGNEE TO EXECUTE THE AGREEMENT AND TO EXERCISE RENEWAL AND TERMINATION PROVISIONS CONTAINED THEREIN

WHEREAS, this Board desires to accomplish the purposes outlined in the accompanying memorandum and documents, copies of which are incorporated herein by reference,

NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF MIAMI-DADE COUNTY, FLORIDA, that this Board hereby approves the award of the Lease and Concession Agreement for Foreign Currency Exchange Services, RFP NO. MDAD-02-15, between Miami-Dade County and LenLyn Ltd. d/b/a ICE Currency Services USA, and in substantially the form attached hereto and made a part hereof, with a Minimum Annual Guarantee of $608,000.00, or a Percentage Fee of 6.30%, whichever is greater, for a term of three (3) years, with three (3) one-year options to renew; all as more particularly set forth in the attached memorandum from the County Mayor. This Board authorizes the County Mayor or the County Mayor�s designee to execute the Agreement, for and on behalf of the County, and to exercise the renewal and termination provisions therein.

STAFF RECOMMENDATION
Recommendation
It is recommended that the Board of County Commissioners (�Board�) approve the award of a Lease and Concession Agreement (�Agreement�) to LenLyn, Ltd. d/b/a ICE Currency Services USA (�ICE� or �Concessionaire�) for Foreign Currency Exchange (FCE) Services for Miami International Airport and authorize the County Mayor or County Mayor�s designee to execute the Agreement substantially in the form attached hereto, with the exhibits on file with the Clerk of the Board.

Scope
Miami International Airport (�MIA�) is located primarily within District 6, which is represented by Commissioner Rebeca Sosa; however, the impact of this agenda item is countywide as MIA is a regional asset.

Delegated Authority
In accordance with Miami-Dade County Code Section 2-8-3 related to identifying delegation of Board authority contained within the Agreement, the County Mayor or the County Mayor�s designee has the authority to exercise the renewal options and to terminate the Agreement.

Fiscal Impact/Funding Source
This project is revenue generating with the following payments to the County:

ICE will pay MDAD a Minimum Annual Guarantee (�MAG�) of $608,000, which includes the Annual Rent for the Locations, or a Percentage Fee of 6.30 percent, whichever is greater. Other Percentage Fees to be paid to MDAD are as follows:

* 25 percent of pre-paid phone cards gross revenues;
* 15 percent on all other services gross revenue;
* 15 percent of travelers checks, money wires and cash advances (credit card) collected fees; and
* 3 percent on online sales/booking

Track Record Monitor
ICE has performed in a satisfactory manner on the existing contract.� Adrian Songer, Chief, Airport Concession Business Development, is responsible for monitoring this contract. �

Due Diligence
Pursuant to Resolution No. R-187-12, due diligence was conducted to determine the responsibility of ICE, including verifying corporate status and that there are no performance or compliance issues. The lists reviewed include: convicted vendors, debarred vendors, delinquent contractors, suspended vendors, and federal-excluded parties. There were no adverse findings relating to the responsibility of ICE.

Background
A Request for Proposals was advertised on August 8, 2016 for a Concessionaire to provide currency exchange services that include, but are not limited to, the following:

* FCE
* Travelers Checks
* Money Wires/Western Union
* Travel Insurance
* Cash Advances on Credit Cards
* Prepaid Phone Cards, Phone Rentals, SIM cards
* Other special services such as public notary services, facsimile services, photocopy services, hotel reservations, attractions tickets, bus/rail tickets, flower ordering, and courier shipping are suggested.
ICE will offer all services and products at competitive prices with those prices charged for similar services and products at comparable currency exchange locations throughout the Miami area and at similar size airports within the United States. The prices and charges of services and products will be pre-approved by the Department.

The Agreement provides for the following seven locations:

* Central Terminal Building (four locations) -
Three locations on the second level of pre-security of Terminal E, F & G;
One location on the second level, post-security, Satellite E Building;

* South Terminal Building (three locations) -
One location pre-security by the entrance to Concourse H; second level
One location on the second level post-security of the Concession�s Hall that connects Concourse H to Concourse J; and
One location in the pre-security outside international arrivals in Terminal J, third level.

The Selection Committee met on March 23, 2017 and reviewed the one proposal submitted by ICE on November 2, 2016. The Committee members found the firm responsible and having met the minimum qualifications.� The MAG price proposal submitted by ICE in the amount of $608,000, with a six percent Percentage Fee was then read aloud.� After discussion by the Committee of ICE�s price proposal, the Committee unanimously determined to proceed to recommend negotiating in order to ensure no added benefit to Miami-Dade County was left unexplored. �

On May 4, 2017 the Negotiation Committee met to negotiate with ICE. During negotiations the proposed MAG of $608,000 was accepted, noting that the FCE business is currently in decline. Nevertheless, the Negotiation Committee was able to secure an increase in the Percentage Fee from 6 percent to 6.30 percent. Additionally, both the Negotiation Committee and ICE came to a consensus that travel insurance services would no longer be considered and were stricken from the Agreement. Currently, Travel Insurance does not become effective until 24 hours after purchase, therefore, making it an unviable product to sell at Miami International Airport.

As previously stated, a Request for Proposals (RFP) was issued under full and open competition. It was expected that there may be limited interest in this project due to the declining nature of this industry. Accordingly, one proposal was received for this solicitation. Following conclusion of the selection process, and given the submittal of a sole proposal, MDAD issued a survey to the remaining six firms that purchased the RFP document, but declined to propose. Responses to the survey indicated a low participation rate due to the current nature of said industry.
