TITLE RESOLUTION RATIFYING ACTION TAKEN BY THE COUNTY MAYOR OR COUNTY MAYOR�S DESIGNEE RELATED TO THE MIAMI-DADE WATER AND SEWER DEPARTMENT�S CONSENT DECREE AND CAPITAL IMPROVEMENT PROGRAMS ACCELERATION ORDINANCE PURSUANT TO SECTION 2-8.2.12 OF THE CODE OF MIAMI-DADE COUNTY, FLORIDA, SPECIFICALLY APPROVAL OF THE AWARD OF THE NON-EXCLUSIVE PROFESSIONAL SERVICES AGREEMENT FOR PROJECT NO. E24WS06 FOR WATER AND SEWER RATES, FEE ANALYSIS AND BOND ENGINEERING SERVICES, TO ARCADIS U.S., INC., AGREEMENT NO. 25AUSI003, IN AN AMOUNT NOT TO EXCEED $6,655,000.00; AND AUTHORIZING THE COUNTY MAYOR OR COUNTY MAYOR�S DESIGNEE TO EXERCISE THE PROVISIONS CONTAINED THEREIN, INCLUDING TERMINATION BODY WHEREAS, this Board desires to accomplish the purposes outlined in the accompanying memorandum, a copy of which is incorporated herein by reference, NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF MIAMI-DADE COUNTY, FLORIDA, that this Board ratifies the actions of the County Mayor or County Mayor�s designee, as authorized by section 2-8.2.12 of the Code of Miami-Dade County, Florida, specifically approval of the award of the Non-Exclusive Professional Services Agreement, in an amount not to exceed $6,655,000.00 to Arcadis U.S., Inc., Agreement No. 25AUSI003, for Project No. E24WS06 for Water and Sewer Rates, Fee Analysis and Bond Engineering Services. This Board authorizes the County Mayor or County Mayor�s designee to exercise the provisions in the agreement, including termination provisions contained therein. The solicitation documents and resulting agreement are kept on file and are available upon request from the Intergovernmental Affairs Division of the Miami-Dade Water and Sewer Department. HEADER Date: To: Honorable Chairman Anthony Rodriguez and Members, Board of County Commissioners From: Daniella Levine Cava Mayor Subject: Resolution Ratifying the Award of a Non-Exclusive Professional Services Agreement for Water and Sewer Rates, Fee Analysis and Bond Engineering Services with Arcadis U.S., Inc., Agreement No. 25AUSI003 - Project No. E24WS06 STAFF RECOMMENDATION Executive Summary This item seeks ratification by the Board of County Commissioners (the Board) of the action taken by the County Mayor or County Mayor�s designee approving a Non-Exclusive Professional Services Agreement No. 25AUSI003 (the Agreement), competitively solicited under Project No. E24WS06, between Miami-Dade County (the County) and Arcadis U.S., Inc. (the Consultant) for Water and Sewer Rates, Fee Analysis and Bond Engineering Services. The Agreement is for an amount not to exceed $6,655,000.00, inclusive of a ten percent (10%) contingency allowance, for a contract term of three (3) years, with two (2) one (1) year options-to-renew. The Agreement will provide the Miami-Dade Water and Sewer Department (WASD) with specialized rate, fee analysis, and bond engineering services that are essential to preserving WASD�s financial stability and compliance with bond covenant requirements, as well as providing the technical and financial expertise required to support strategic decision making, protect the County�s financial interests, and ensure transparency and accountability in rate setting processes. The Agreement was awarded following a full and open competitive solicitation, the Consultant was ranked the highest qualified firm after evaluation of qualifications and oral presentations. WASD is one of the largest utilities in the United States, operating an extensive integrated system of infrastructure and facilities that delivers essential water and sanitary sewer services to more than 2.8 million residents, visitors, and businesses throughout the County. Given WASD�s substantial capital commitments�including federally mandated projects, long-term infrastructure renewal programs, and ongoing regulatory compliance requirements�independent financial and engineering evaluations of system revenues, capacity, and rate structures are critical to maintaining strong credit ratings and ensuring long-term fiscal sustainability. This Agreement enables WASD to make informed infrastructure investment decisions, support responsible growth and development while safeguarding system capacity, preserve regulatory compliance, and enhance the long-term reliability, resilience, and efficiency of the County�s water and wastewater systems. Recommendation It is recommended that the Board ratify the action of the County Mayor or County Mayor�s designee, as authorized under Section 2-8.2.12 of the Code of Miami-Dade County (WASD�s Acceleration Ordinance) for the funded Agreement identified below and on Exhibit A attached hereto. Scope The Agreement will provide services throughout the County; therefore, the impact of this item is countywide in nature. Delegation Of Authority The authority of the County Mayor or the County Mayor�s designee to execute and implement this contract is consistent with the authorities granted under the Code of Miami-Dade County. The Agreement was awarded pursuant Section 2-8.2.12 of the Code (WASD�s Acceleration Ordinance), which delegates authority to the County Mayor or County Mayor�s designee to award certain projects, and, among other things, negotiate and settle claims, and execute change orders that do not exceed ten percent (10%) of the base contract amount, all subject to ratification by the Board. This item approves the award and authorizes the County Mayor or County Mayor�s designed to exercise the provisions contained in the Agreement, including termination. Fiscal Impact/Funding Source The fiscal impact to the County is $6,655,000.00 and will be funded out of WASD�s Proprietary Revenues. There is no impact to the General Fund. This Agreement is in WASD�s Fiscal Year 2025-2026 Adopted Budget and Multi-Year Capital Plan, Volume #3, Contractual Services, Page #98. Track Record/Monitoring WASD�s Chief Financial Officer, Frances G. Morris, will oversee the implementation of this Agreement. Due Diligence/Safety Information Due diligence was conducted by WASD and the Strategic Procurement Department (SPD) in accordance with SPD�s Procurement Guidelines to determine responsibility, including verifying corporate status; performance; and compliance data. The lists that were reviewed include: convicted vendors, debarred vendors, delinquent contractors, suspended vendors, and federally excluded parties. There were no adverse findings related to the Consultants� responsibility. This information is being provided pursuant to Resolution No. R-187-12. Background On September 3, 2014, the Board approved Ordinance No. 14-77 authorizing the County Mayor or County Mayor�s designee to award contracts for funded capital projects and related goods and services, and to accelerate the approval of WASD�s (1) Consent Decree projects and (2) projects identified in WASD Multi-Year Capital Plan�s Capital Improvements Program without the need for prior Board approval but subject to ratification by the Board. The Agreement is for services that will provide specialized rate, fee analysis, and bond engineering services that are essential to preserving WASD�s financial stability and compliance with bond covenant requirements. The Agreement will also provide services that include preparation of the Annual Adequacy of Rate and Charges Report, annual bond consultant inspections and reporting, bond feasibility reports for future revenue bond issuances, wholesale and retail rate analyses, and certification of service area releases in accordance with applicable ordinances. The solicitation was issued on June 9, 2025, as a Notice to Professional Consultant under full and open competition. Two (2) proposals were received by the submittal deadline of July 16, 2025. Arcadis U.S., Inc. was ranked the highest-qualified firm after evaluation of qualifications and oral presentations. The Negotiation Team concluded successful negotiations on January 28, 2026, and the contract was awarded. The two proposals received were found to be in compliance with the Small Business Development contract measures on July 22, 2025. Due diligence was conducted by WASD and SPD, which included reviewing lists for convicted, debarred, and suspended vendors, and no adverse findings were reported related to Arcadis U.S., Inc.
