Chairman Diaz convened the Board�s regular meeting at 9:52 a.m. The following Board members were present in the Commission Chambers at roll call: Chairman Diaz, Vice Chairman Gilbert III, Commissioners Cohen Higgins, Hardemon, Heyman, Higgins, Martinez, McGhee, Monestime, Regalado, Sosa and Souto (Commissioner Garcia was late).
Vice Chairman Gilbert III led the prayer, followed by the Pledge of Allegiance.

REPORT:
Chairman Diaz expressed his full support for the Bay of Pigs Veterans Association, Brigade 2506, and their efforts.
Commissioner Higgins introduced the presentation, noting that she had the honor to participate in the commemoration of the 60th Anniversary of the Bay of Pigs Invasion of Cuba. She noted the Bay of Pigs Brigade 2506 Museum and Library was a building built on sweat equity and veterans� volunteered hours to share the history and memories of a time and place that hopefully would never be repeated again. She stated the building had never received financial support from the County nor the State of Florida, but she intended to help secure funding from the County�s and the State�s budgets.
Mr. Johnny Lopez de la Cruz, President, Bay of Pigs Veterans Association, Brigade 2506, presented an overview on the mission of the Bay of Pigs Museum and Library and the plans to renovate and make the urgent building improvements needed in the areas of safety and security to provide a better environment for visitors. He requested financial assistance from the Board members to complete the buildings renovations and improvements.
Upon conclusion of the citizen�s presentation, the Board members made the following financial commitments:
1. Commissioner Monestime, District 2 - $5,000.00
2. Commissioner Higgins, District 5 - $10,000.00
3. Commissioner Sosa, District 6 - $10,000.00
4. Commissioner Regalado, District 7 - $10,000.00
5. Commissioner Souto, District 10 - $12,000.00
6. Chairman Diaz, District 12 - $10,000.0
Vice Chairman Gilbert III and Commissioners Cohen Higgins, Garcia, McGhee, and Souto indicated their intent to make a financial contribution.
On behalf of Mayor Levine Cava, Commissioner Higgins read into the record the Mayor�s funding allocation of $10,000.00 for the Bay of Pigs Museum and Library.
It was moved by Commissioner Higgins that the Board of County Commissioners approve Mayor Daniella Levine Cava�s $10,000.00 financial allocation from Fiscal Year (FY) 2021-22 Operating Budget of the Office of the Mayor to the Bay of Pigs Museum and Library. This motion was seconded by Commissioner Cohen Higgins; and upon being put to a vote, the motion passed by a vote of 13-0.

MOTION TO SET THE AGENDA
County Attorney Geri Bonzon-Keenan announced the following preliminary changes to the agenda:
1. Agenda Items 3B1 and 11A3 were pulled by Commissioner McGhee;
2. Agenda Item 8F1 was pulled by Commissioner Monestime;
3. Agenda Item 11A2, the sponsor requested deferral to no date certain;
4. Agenda Item 15B1 was pulled by Commissioner Souto and Vice Chairman Gilbert III;
5. Agenda Item 11A4, Commissioners Sosa and Souto requested to be listed as co-sponsors;
6. Agenda Item 11A5, Commissioner McGhee requested to be listed as a co-sponsor;
7. Agenda Item 11A6, Commissioner Sosa requested to be listed as a co-sponsor;
8. Agenda Item 11A7, Commissioners Cohen Higgins and McGhee requested to be listed as co-sponsors;
9. Agenda Item 11A11, Commissioner Cohen Higgins requested to be listed as a co-sponsor; and

County Attorney Bonzon-Keenan advised the items to be considered at today�s (11/16) meeting would be those listed on the printed final agenda with the additions, deferrals, withdrawals, and scrivener�s errors noted in the Chair�s memorandum entitled �Changes Sheet� dated November 16, 2021,including the aforementioned requests. She stated the Board will approve all of those items by a single vote setting the agenda except for any remaining citizen�s presentations, ordinances for first reading, public hearings items, Agenda Item 2B1, 8F3, and the following �Pull List� agenda items 2B3, 3B1, 8F1, 8F2, 11A2, 11A3, 11A5, 11A7, 11A11, 11A12, 11A14, 14A1, 14A2, 14A3, and 15B1.
Vice Chairman Gilbert III released Agenda Item 11A14 from the �Pull List.�
Chairman Diaz and Commissioner Martinez released Agenda Item 11A2 to have the item deferred to no date certain as requested by the sponsor.
Commissioner Sosa moved to defer Agenda Item 11A2 as requested by the item�s sponsor. Commissioner Higgins seconded the motion. No vote was taken.
Commissioner McGhee released Agenda Item 3B1 and asked Commissioner Regalado to allow him to co-prime sponsor the resolution. Commissioner Regalado accepted.
Commissioner Higgins requested Mr. Eulois Cleckley, Director of the Department of Transportation and Public Works Department (DTPW), be added as a member of the Competitive Selection Committee to be appointed by the approval of Agenda Item 11A12 to select next year�s lobbying team for the Office of Intergovernmental Affairs (OIA). She also advised Mayor Levine Cava recommended Mr. Roy Coley, Director of Miami-Dade Water and Sewer Department (WASD), also be added to the Competitive Selection Committee.
Chairman Diaz responded the committee already had the maximum number of members, which was five (5), but he would address that issue during consideration of that item.
County Attorney Bonzon-Keenan advised she would check if Mr. Cleckley could be added to the Competitive Selection Committee.
County Attorney Bonzon-Keenan advised Commissioner McGhee would like to amend Agenda Item 11A3 as follows:
- to change the not to exceed funding amount from $997,336 to $1,136,303.00;
- to revise references in the title and 4th and 5th whereas clauses in section 1 accordingly; and
- to direct the County Mayor to identify legally available district 6 road impact fees and if such funds were not identified to provide a report directly to this Board without committee review within sixty (60) days of the effective day of this resolution.
It was moved by Commissioner McGhee that the Board of County Commissioners adopt Agenda Item 11A3 as amended. Commissioner Higgins seconded this motion. (No separate vote was taken.)
County Attorney Bonzon-Keenan clarified the motion to set the agenda would also approve the following items:
- the deferral to no date certain of Agenda Item 11A2;
- Agenda Item 11A3 as amended by Commissioner McGhee; and
- the release of Agenda Item 3B1 including the request of Commissioner McGhee to co-prime sponsor.
It was moved by Commissioner Sosa that the Board of County Commissioners set today�s (11/16) meeting agenda including the aforementioned requests and amendments. This motion was seconded by Commissioner Higgins; and upon being put to a roll call vote, the motion passed by a vote of 12-0 (Commissioner Heyman was absent).

REPORT:
In response to Commissioner Martinez�s questions relating to Miami-Dade Water and Sewer Department�s (WASD) accounts receivables and past due customers� accounts, Chief Financial Officer Edward Marquez responded the County Administration�s focus was to reduce the balance of delinquent accounts. He noted that a moratorium was imposed on the collections process during the coronavirus disease 2019 (COVID-19) pandemic; but the process to collect past due outstanding balances was reactivated.
Ms. Frances Morris, Chief Financial Officer, WASD, advised that the moratorium was lifted as of October 1, 2021; and all customers with past due accounts were offered payment plans. She noted the accounts receivables balance was reduced by $10 million.
Commissioner Martinez asked Chief Financial Officer Marquez to review the Miami-Dade Fire Rescue Department�s (MDFR) accounts receivables to identify insured patients and to determine if the balances of patients with past due invoices could be collected from the insurance companies.
Commissioner Sosa asked Chief Financial Officer Marquez to review MDFR�s accounts receivables and the feasibility of using COVID-19 federal funds to pay uncollected patient transport invoices related to COVID-19.
Commissioner Sosa advised she would like to discuss with the Board members at a later time the issues of the Aviation Department�s accounts receivables and past due accounts related to rent deferrals because during a visit to the Miami International Airport (MIA) she observed many of the concessionaires remained closed for business while the flights were leaving and arriving at full capacity.

REPORT:
Commissioner Monestime expressed his concerns for some of the firms listed in the contract award recommendation; and he noted that two (2) of the firms had no active corporate status and three (3) had pending litigations for discrimination, harassment, retaliatory employment actions. He pointed out those legal cases had not been adjudicated yet. Therefore, he felt uncomfortable making a decision that would place the County in a position to conduct business with companies having legal issues and no active corporate status. He asked the County Attorney�s Office to prepare a legislative item allowing the County to terminate the contracts of firms with pending legal litigation if the outcome of the pending legal cases was guilty and allowing the County to remove the firms from the pool of contractors.
Pursuant to Commissioner Monestime�s question regarding the firms� corporate status, Mr. Alex Munoz, Director of Internal Services Department (ISD), responded that the department had done due diligence; but it appeared the firms� corporate status changed between the time due diligence was done and the item was considered by the Board. Mr. Munoz agreed with Commissioner Monestime�s concerns and indicated the department would follow the process to address that issue.
Pursuant to Commissioner Monestime�s inquiry about how the pending litigation would be addressed, Assistant County Attorney Bruce Libhaber explained the County�s established policy and mechanism to address an adverse litigation outcome with firms working with the County after the contract was awarded. He noted the Board had the prerogative to find the firm non-responsible if litigation took place after the contract award.
Pursuant to Commissioner Monestime�s comments, Chief Operations Officer Jimmy Morales advised the County Administration would review the Commission Auditor�s research report and the issues raised by Commissioner Monestime.

- to direct the County Mayor to identify legally available district 6 road impact fees and if such funds were not identified to provide a report directly to this Board without committee review within sixty (60) days of the effective day of this resolution.
It was moved by Commissioner McGhee that the Board of County Commissioners adopt the foregoing resolution as amended. This motion was seconded by Commissioner Higgins; and upon being put to a vote, the motion passed by a vote of 12-0 (Commissioner Heyman was absent).

REPORT:
Commissioner Higgins recommended Mr. Eulois Cleckley, Director, Department of Transportation and Public Works Department (DTPW), be added as a member of the Competitive Selection Committee (CSC) appointed by this resolution to select next year�s lobbying team.
Chief Operations Officer Jimmy Morales, Office of the Mayor, pointed out Mayor Levine Cava had recommended Mr. Roy Coley, Director of Miami-Dade Water and Sewer Department (WASD), should also be added to the Competitive Selection Committee.
Chairman Diaz noted he wished to maintain the committee�s membership at five (5) members.
Hearing no other comments or objections, the Board members proceeded to take a vote on the foregoing resolution as amended.
The Board members adopted the foregoing resolution as amended to delete the name of Ms. Christina White, Supervisor of Elections, from the Competitive Selection Committee (CSC); and add Mr. Eulois Cleckley as a member. UPDATE TO REVIEW OF PROPERTY CONVEYANCES UNDER MIAMI-DADE COUNTY'S AFFORDABLE HOUSING PROGRAMS(Clerk of the Board)

REPORT:
Commission Auditor Yinka Majekodunmi, Certified Public Accountant (CPA), Office of Commission Auditor (OCA), presented an update report on the research of property conveyances under Miami-Dade County�s affordable housing programs. He advised his office had conducted a review of all Board approved conveyances under the County�s Affordable Housing Programs, in conjunction with the Department of Public Housing and Community Development (PHCD) and the Internal Services Department (ISD), from calendar year 1997 to 2021 as requested by Chairman Diaz and Commissioner Martinez. He noted that the data was compiled from records of the Miami-Dade Clerk of Courts, Property Appraisal�s Office, and Legistar; and OCA was currently conducting a final research on specific transactions requiring an in-depth review and interviews with specific parties as follows:
- properties conveyed and later acquired through tax deeds;
- properties conveyed and sold to other organizations;
- properties sold in an amount in excess of the maximum sales price of the program; and
- properties that need the proof of certificate of qualification reviewed.
Commissioner Auditor Majekodunmi stated that the final research report would include all properties that had the conveyance papers lapsed without any Board approval or extension, and he expected to have the report completed within a few weeks listing each property by folio number.
Chairman Diaz stated that he and Commissioner Martinez through a committee meeting had requested an investigation on property conveyances. He noted he also expected a report from the County Administration, which was overdue. He stated the Board should establish a better procedure and accountability for property conveyance transactions for properties that were publicly owned by the citizens. He also stated this was a serious problem within the County, and he would have legislation prepared in this regard. He asked that all county commissioners provide feedback on this issue.
Commissioner Regalado noted that she had asked the Board to engage in a discussion regarding affordable and workforce housing, but some of the county commission districts had little of these type of properties. She commented this represented a good opportunity to discuss what would be the best, most efficient use of these type of properties, establish an accountability mechanism, and discuss the best use for County funds. She noted the County should not be in the business of single-family use when building affordable housing to provide more housing for people.
Chairman Diaz asked Commission Auditor Majekodunmi to coordinate with the County Administration the presentation of his final report so that both reports be presented together.
In response to Commissioner Monestime�s question, Commission Auditor Majekodunmi advised a summary report was distributed so that the Board members could have a perspective on the quantity since the scope of the project was important to his office. He noted some properties were conveyed; and the conveyance period had lapsed, which meant those properties were subject to being reverted. The final report would contain information on every property conveyed including the status, different categories of information, and those subject to reverter clauses.
Commissioner Monestime asked Commission Auditor Yinka Majekodunmi to list in the final report all of the property conveyances under Miami-Dade County�s Affordable Housing Programs by county commission districts and that the report also outline those properties located within his county commission district with a reverter clause. He also asked that a report be prepared listing all infill undeveloped, vacant properties located within each county commission district.
In response to Commissioner Cohen Higgins� question, Commission Auditor Majekodunmi responded provided an overview of the type of information that would be included in the report and noted it would also include information on the acreage.
Vice Chairman Gilbert III commented that the reverter clauses language on some of the oldest property conveyances were weak clauses; and in some instances, the reverter clauses were excluded from the contract. Consequently, the County would be unable to revert some of these properties back to the County due to the exclusion of a reverter clause in the contract. He suggested that the County should focus on including strong reverter clauses on property conveyance transactions.
Commissioner Martinez commented that the County usually included strong reverter clauses, but the problem was it was not being enforced. He asked Mr. Majekodunmi to include in the final report information regarding whether the property conveyed was sold.
Commissioner Sosa asked County Attorney Bonzon-Keenan to research the legislation she had sponsored regarding reverter clauses, which included very strong language; and she would like to have it revisited if it needed to be strengthened.
Commissioner Regalado commented the Board could create a mechanism to revert the property automatically. She asked that the current zoning of the conveyed property be included in the final report. She also asked that Mr. Nathan Kogon, Assistant Director, Development Services, Regulatory and Economic Resources (RER) Department, be asked to review the conveyed properties listed in the final report to determine which properties could be rezoned to a higher density.
Commissioner Sosa asked County Attorney Bonzon-Keenan to provide her with a copy of the resolution she had sponsored in year 2013 relating to the conveyance of county-owned properties, which addressed the issue of converter clauses.

Commissioner Sosa asked County Attorney Geri Bonzon-Keenan to prepare a legislative item prohibiting amendments or motions for legislative items not listed on the day�s agenda or unadvertised because the public should be informed about actions taken by the Board due to secondary effects and to protect the County.
Chairman Diaz clarified the motions changing the public hearing dates were procedural motions. He noted the new public hearing dates were advertised, and the public was allowed to speak at the public hearings.
Commissioner Martinez concurred with Commissioner Sosa�s comments, and it would be prudent to prepare such legislation to protect the County.
In response to Commissioner Cohen Higgins� question, County Attorney Bonzon-Keenan advised the motions were just motions to waive the Board�s Rules of Procedure relating to a specific requirement such as a 4-week/6-week municipal notification or to waive the committee review requirement. She clarified the only item amended by these procedural motions was Agenda Item 15B1, which listed the locations and dates for the public hearings; but the actual legislative items were not amended.
Vice Chairman Gilbert III commented the Board members had the option to vote no on such motions, but sometimes time sensitive issues required waiving the rules.
Chairman Diaz concurred with Commissioner Sosa�s comments and noted commissioners should prepare and present their legislative items on time.
